General terms and conditions

Article 1 – Scope of application

These general terms and conditions of sale apply to all business relations with the purchaser, including exports. Any order implies the unreserved application of the general terms and conditions of sale below, to the exclusion of any other documents such as prospectuses, catalogs, etc. issued by us, which are only indicative. Unless expressly agreed in writing by us, no special conditions may take precedence over these terms and conditions.

Article 2 – Prices

Invoices are drawn up according to the rates and conditions in force at the time the order is registered.

Article 3 – Ordering

All customer orders must be made in writing. Orders are not acknowledged. ZIFORT registers the order and reserves the right to correct any errors that may occur during order registration and will not incur any liability as a result. Orders constitute successive purchase contracts, formed under the conditions of validity defined in these general terms and conditions.

Article 4 – Deadlines

The delivery times indicated by ZIFORT will be respected as far as possible. However, these deadlines are given in good faith, but only as an indication, and their non-observance cannot, under any circumstances, give rise to cancellation, refusal of products, damages or late penalties. Delays in deliveries may not, for any reason whatsoever, give rise to compensation or cancellation. Likewise, we shall not be held liable for any commitment relating to delivery times in the event of force majeure or events such as war, accident, machine breakdown, frost, lockout, strike, requisition, fire, flood, interruption or delay in transport, or any other cause leading to total or partial unemployment for ourselves or our suppliers…

Article 5 – Shipping

Goods travel at the consignee’s risk, and ZIFORT is in no way responsible for damage occurring in transit. The purchaser must notify ZIFORT in writing of any shortages or damage within 48 hours of receipt of the goods. This declaration must be accompanied by a detailed report from the carrier. Furthermore, in the event of shortages or damage, no claim will be accepted if all the usual reservations and procedures provided for by law have not been taken into consideration with the carrier. This means: – making precise, reasoned reservations on the carrier’s delivery slip, – confirming reservations to the carrier by registered letter with acknowledgement of receipt. Refusal to comply with this request will give ZIFORT the right to cancel all or part of the order. – Our shipments to mainland France are made by carrier and are subject to shipping charges according to a scale established by ZIFORT.

Article 6 – Return of goods

Cancellation of an order or return of goods can only be obtained with our written consent. Goods returned after agreement must be in perfect condition and in their original packaging. Any takeover will be subject to the following conditions:

  • 10% reduction if returned 1 month after purchase date.
  • 20% reduction if the return occurs 3 months after the purchase date.
  • 50% reduction if returned 12 months after date of purchase

Article 7 – Reservation of ownership

The goods remain the entire property of ZIFORT until full payment of their price, interest, penalties, any ancillary costs and taxes. However, the risk in the goods passes to the purchaser as soon as they leave the ZIFORT premises. Under no circumstances is the purchaser entitled to dispose of the goods to a third party prior to payment, ZIFORT is entitled to take back the products at the purchaser’s expense. The sale will be automatically cancelled. The buyer shall bear the risk of loss or destruction upon delivery of the goods. It will also bear the cost of insurance. In the event of damage occurring during transport, it is the responsibility of the consignee to exercise all recourse against the carriers.

Article 8 – Terms of payment

Our invoices are payable at our registered office, without our bills of exchange or other means of payment constituting a novation or waiver. They are deemed to be payable in cash unless otherwise agreed in writing by us. If this is the case, the customer can deduct 0.5% per full month of prepayment. Any price reduction due to discounting reduces your right to deduct the invoiced VAT proportionally without further notice from us. Failure to pay a single bill of exchange or invoice by the due date will result in the forfeiture of the term of payment and will render all our receivables due and payable immediately, even those due and payable. Interest will then be automatically calculated and collected outside our terms of payment, per month of delay, at an interest rate equal to three times the legal interest rate, without prejudice to damages, plus the payment of a flat-rate indemnity for collection costs of €40.

Article 9 – Trademark protection

The ZIFORT name, logos and trademarks are protected nationally and internationally. Any unauthorized use will be considered improper and will be prosecuted.

Article 10 – Warranty

Complaints, including those concerning defects in quality, conformity or quantity, will be deemed admissible if they reach the ZIFORT head office within eight days of receipt of the goods. In the absence of a written complaint, the goods delivered are deemed to be of good quality and quantity and to meet the buyer’s requirements. Any return of equipment must be the subject of a written agreement between the customer and ZIFORT. The costs and risks of returning goods are always borne by the customer. In the event of a complaint duly noted by ZIFORT, the latter undertakes to proceed, at its discretion, either to repair or replace, free of charge, part or all of the goods, to the exclusion of any compensation.

Article 11 – Jurisdiction – Disputes

All disputes arising out of or in connection with this agreement shall be governed exclusively by French law. All disputes arising between the parties are subject to the exclusive jurisdiction of the Bourg en Bresse Commercial Court, regardless of the method of payment and even in the event of multiple defendants and warranty claims. The customer accepts this attribution of jurisdiction without any restriction or reservation.
